These Terms of Service ("Terms") govern your use of the Dealer Listing Agent website and services operated by Dealer Listing Agent ("we," "us," or "our"). By accessing our website or using our services, you agree to these Terms.

1. Services

Dealer Listing Agent provides inventory listing management services for equipment dealers, including but not limited to:

• Listing placement and coordination across online marketplaces and platforms
• Inventory data organization and formatting
• Listing updates, revisions, and removals
• Photo organization and listing data preparation
• CSV listing file preparation for marketplace uploads

Specific service scope, deliverables, and pricing will be agreed upon separately between Dealer Listing Agent and each client prior to the commencement of services.

2. Client Responsibilities

As a client or prospective client, you agree to:

• Provide accurate and complete inventory information
• Ensure you have the right to list all inventory submitted to us
• Notify us promptly of any changes to inventory status, pricing, or availability
• Comply with the terms and policies of any third-party marketplace platforms
• Not submit fraudulent, misleading, or prohibited inventory listings

3. Intellectual Property

You retain ownership of all inventory data, photos, and content you provide to us. By submitting content, you grant Dealer Listing Agent a limited license to use that content solely for the purpose of providing the agreed-upon listing services.

All website content, branding, and materials created by Dealer Listing Agent remain the property of Dealer Listing Agent.

4. Limitation of Liability

Dealer Listing Agent provides listing coordination services but does not guarantee the sale of any inventory, specific marketplace placement results, or response rates from buyers. We are not responsible for:

• Actions or decisions made by third-party marketplace platforms
• Changes to marketplace policies or listing requirements
• Errors resulting from inaccurate information provided by the client
• Loss of sales or revenue arising from listing availability or performance

To the maximum extent permitted by law, our total liability for any claim arising from our services shall not exceed the amount paid by you for services in the thirty (30) days preceding the claim.

5. Payment Terms

Payment terms, billing cycles, and service fees will be outlined in the service agreement between Dealer Listing Agent and each client. All fees are due as specified in that agreement. We reserve the right to suspend services for non-payment.

6. Cancellation

Either party may terminate services with reasonable notice as specified in the applicable service agreement. Upon termination, we will complete any work in progress and provide you with your inventory data in a reasonable format.

7. Confidentiality

We treat all client inventory data and business information as confidential and will not share it with third parties except as necessary to provide our services or as required by law.

8. Website Use

You agree not to use our website to:

• Transmit any unlawful, harmful, or fraudulent content
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the website
• Scrape or harvest data without our written permission

9. Disclaimer of Warranties

Our website and services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

11. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.

• Rates: Message and data rates may apply. Check with your carrier for details. Message frequency varies.
• Liability: Carriers are not liable for delayed or undelivered messages.
• Age Restriction: You must be 18 years of age or older to use this SMS service.
• Privacy: No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
